These Terms of Service (“Terms”) govern your access to and use of iluvcocoon.com, including all related information, content, features, tools, products, and services offered through the website (collectively, the “Services”).

The Services are operated by My Wonder Gear LLC, DBA I Luv Cocoon (“I Luv Cocoon,” “we,” “us,” or “our”).

Please read these Terms carefully before accessing the Services or purchasing a product.

By accessing or using the Services, creating an account, submitting an order, or purchasing an I Luv Cocoon product, you agree to be bound by these Terms and by the policies incorporated into them.

If you do not agree to these Terms, do not use the Services or purchase products through the Site.

Our Privacy Policy, Shipping Policy, Return & Refund Policy, and Safety & Product Use information are incorporated into these Terms by reference.

1. Eligibility

You must be at least 18 years old or the age of legal majority in your jurisdiction to place an order through the Site.

Products intended for use with or around children must be purchased, installed, handled, and supervised by a responsible adult.

By using the Services or placing an order, you represent that you have the legal capacity to enter into these Terms.

2. Online Store and Product Information

We make reasonable efforts to accurately display and describe our products, including their colors, patterns, materials, dimensions, features, photographs, and other characteristics.

However, actual products may vary slightly from photographs or descriptions because of factors including:

• screen and display settings;

• textile printing;

• pattern placement;

• manufacturing tolerances;

• material variations;

• production runs; and

• product improvements.

Minor variations that do not materially affect the product's intended function are not necessarily defects.

We may modify, improve, discontinue, or change products, designs, colors, patterns, packaging, materials, specifications, or product availability at any time, subject to orders already accepted and applicable law.

3. Product Availability

Products are subject to availability.

We do not guarantee that a particular product, size, print, color, configuration, or quantity will remain available.

We may limit quantities offered or sold to any person, household, geographic region, reseller, business, or order where permitted by law.

Some products may be made, finished, prepared, or produced after an order is placed. Any applicable processing or production estimates will be communicated through the Site, checkout, order confirmation, or other customer communication.

4. Orders and Acceptance

Submitting an order does not guarantee that we will accept or fulfill it.

We may refuse, limit, or cancel an order where reasonably necessary, including because of:

• product availability;

• incorrect product information;

• obvious pricing errors;

• payment authorization issues;

• suspected fraud;

• suspected misuse of the Services;

• unusually large or repeated quantities;

• shipping restrictions;

• legal or regulatory restrictions;

• suspected unauthorized commercial resale or distribution;

• suspected copying, manufacturing, or procurement activity; or

• another legitimate business reason permitted by law.

If we cancel an order after collecting payment, we will refund the applicable amount.

An order confirmation acknowledging receipt of an order does not necessarily constitute final acceptance where applicable law permits otherwise.

5. Prices, Payments, Taxes, and Billing Information

Prices are displayed in the currency identified on the Site or at checkout.

You agree to provide current, complete, and accurate purchasing, billing, payment, shipping, and account information.

You authorize us and our payment providers to charge the payment method you provide for:

• the purchase price;

• shipping charges;

• applicable taxes;

• duties or other charges disclosed at checkout; and

• other amounts you expressly authorize.

We may correct obvious pricing, typographical, or listing errors.

If an error affects an order you have already placed, we may contact you to obtain approval of the corrected terms or cancel and refund the affected order as permitted by law.

Prices and promotions may change without notice for future purchases.

6. Shipping and Delivery

Shipping is governed by our Shipping Policy, which is incorporated into these Terms.

Processing and delivery estimates are estimates unless expressly stated to be guaranteed.

We will comply with applicable requirements regarding shipment timing, delay notifications, cancellations, and refunds.

Customers are responsible for providing a complete and accurate delivery address.

Once fulfillment has begun, we cannot guarantee that an address can be changed.

Carrier operations, weather, customs processing, local disruptions, incorrect addresses, holidays, or other circumstances may affect delivery.

Nothing in this section limits any right or remedy provided by applicable law.

7. Returns, Exchanges, and Refunds

Returns, exchanges, cancellations, and refunds are governed by our Return & Refund Policy, which is incorporated into these Terms.

Nothing in these Terms or our Return & Refund Policy limits rights that cannot legally be waived, including applicable rights relating to defective, damaged, misdescribed, unsafe, or nonconforming products.

8. Product Safety and Intended Use

COCOON products must be used only for their intended purpose and in accordance with all applicable instructions, warnings, labels, and safety information.

Products used with or around children require responsible adult installation, inspection, and supervision.

I Luv Cocoon products are not toys.

Improper use around children or around tubing, cords, lines, connectors, or equipment may create hazards, including:

• entanglement;

• strangulation;

• suffocation;

• choking;

• tubing obstruction;

• kinking;

• compression;

• disconnection;

• displacement;

• interference with alarms or sensors;

• interference with airflow or fluid flow; or

• interference with equipment operation.

Before and during use, the responsible adult must ensure that COCOON and any associated tubing, lines, cords, connectors, and equipment remain appropriately positioned, accessible, unobstructed, and functioning normally.

Never use an I Luv Cocoon product in a manner that:

• obstructs a child's face, mouth, nose, neck, or airway;

• allows material, tubing, cords, or lines to become wrapped around a child's neck or body;

• kinks, compresses, pinches, or obstructs tubing;

• pulls on, displaces, or disconnects tubing or connectors;

• blocks or muffles alarms;

• interferes with sensors or monitoring;

• prevents necessary visual inspection;

• restricts access to equipment;

• interferes with airflow or fluid flow; or

• otherwise interferes with the intended operation of associated equipment.

Inspect products before each use and discontinue use if a product becomes damaged, torn, improperly positioned, loose, or unsafe.

The complete Safety & Product Use instructions available through the Site are incorporated into these Terms.

9. Medical and Healthcare Information

The Services, product descriptions, educational materials, social-media content, customer-service communications, reviews, testimonials, and other I Luv Cocoon materials are provided for general product and educational purposes.

They are not individualized medical advice and are not intended to replace:

• diagnosis;

• medical treatment;

• prescribed care;

• monitoring;

• emergency medical care;

• instructions from a physician, nurse, respiratory therapist, or other healthcare professional; or

• instructions and warnings supplied by a medical-equipment manufacturer or provider.

If instructions or warnings associated with medical equipment or a healthcare professional's instructions conflict with instructions relating to an I Luv Cocoon product, follow the applicable medical or equipment instructions and do not use the I Luv Cocoon product in that configuration unless appropriate use has been confirmed by the relevant qualified professional or equipment provider.

Nothing on the Site is intended to make a medical claim beyond any claims expressly authorized and substantiated for the applicable product.

10. Purchase for End Use

Unless we expressly agree otherwise in a separate written agreement signed by an authorized representative of My Wonder Gear LLC, products sold through this Site are offered to individual customers for personal, household, caregiving, or other authorized end use.

By purchasing an I Luv Cocoon product, you represent and agree that you are purchasing it for authorized end use and not for unauthorized commercial resale, wholesale distribution, manufacturing, reproduction, licensing, sublicensing, export for resale, marketplace resale, or other commercial redistribution.

11. No Unauthorized Commercial Resale, Wholesale, or Distribution

Unless expressly authorized in writing by My Wonder Gear LLC, you may not:

• purchase I Luv Cocoon products for systematic or commercial resale;

• purchase products for wholesale distribution;

• establish an unauthorized retail, wholesale, dealership, or distribution channel involving I Luv Cocoon products;

• sell or distribute new I Luv Cocoon products while representing yourself as an authorized retailer, dealer, distributor, wholesaler, importer, exporter, representative, agent, or licensee;

• purchase products for export or re-export for commercial resale or distribution;

• supply I Luv Cocoon products to another business for commercial resale or redistribution;

• list new I Luv Cocoon products for systematic commercial resale through third-party marketplaces or ecommerce platforms as though you were an authorized seller;

• repackage, private-label, white-label, relabel, rebundle, or commercially distribute I Luv Cocoon products under another brand;

• remove, obscure, replace, or alter required product warnings, labels, identifying information, packaging, or branding in connection with commercial distribution;

• represent that you have been granted exclusive or nonexclusive territory, dealership, wholesale, import, distribution, or resale rights; or

• otherwise create the impression that I Luv Cocoon has authorized a commercial relationship that does not exist.

All authorized wholesale, retail, dealership, distribution, licensing, and similar commercial relationships require a separate written agreement signed by an authorized representative of My Wonder Gear LLC.

12. No Manufacturing, Copying, or Commercial Reproduction Rights

Purchasing an I Luv Cocoon product does not grant any right to manufacture, reproduce, copy, commission the manufacture of, or commercially exploit the product or any protected element of the product.

Except as expressly permitted by applicable law or authorized by us in writing, you may not use an I Luv Cocoon product, sample, prototype, design, specification, pattern, photograph, packaging, construction, or other proprietary material for the purpose of:

• manufacturing copies;

• arranging for a third party to manufacture copies;

• commercially reproducing protected product elements;

• creating counterfeit products;

• creating products that unlawfully copy protected elements of an I Luv Cocoon product;

• procuring competing products based on protected I Luv Cocoon intellectual property; or

• commercially exploiting I Luv Cocoon intellectual property without authorization.

Purchasing or possessing a physical I Luv Cocoon product does not create a manufacturing agreement or authorize a factory, contractor, supplier, sourcing agent, distributor, or other third party to reproduce it.

13. Purchase Does Not Transfer Intellectual Property Rights

A purchase transfers ownership of the physical product purchased only.

It does not transfer, assign, sell, or license any intellectual-property or proprietary rights belonging to My Wonder Gear LLC.

No purchaser acquires any ownership interest or license in any I Luv Cocoon:

• trademark;

• trade name;

• logo;

• brand identity;

• product name;

• copyrighted material;

• photograph;

• video;

• illustration;

• artwork;

• textile artwork or proprietary pattern;

• packaging;

• trade dress;

• website content;

• written material;

• instruction material;

• proprietary product design;

• protected product configuration;

• patent or patent right;

• trade secret;

• know-how; or

• other intellectual property or proprietary right.

Except to the extent expressly permitted by applicable law, you may not copy, reproduce, publish, manufacture, modify, adapt, license, sublicense, commercially distribute, or otherwise commercially exploit I Luv Cocoon intellectual property without prior written authorization.

No sale of a physical product grants an express or implied license to manufacture the product, authorize another person to manufacture it, commercially reproduce protected elements, create counterfeit versions, or grant rights in I Luv Cocoon intellectual property to another person or business.

14. No License, Dealership, Agency, or Commercial Relationship

Purchasing an I Luv Cocoon product does not make you:

• a licensee;

• distributor;

• wholesaler;

• dealer;

• retailer;

• franchisee;

• importer;

• exporter;

• representative;

• agent;

• affiliate;

• partner; or

• authorized reseller

of My Wonder Gear LLC or I Luv Cocoon.

You may not state or imply that such a relationship exists without prior written authorization.

Nothing contained on the Site or resulting from a product purchase creates a partnership, joint venture, franchise, fiduciary relationship, employment relationship, or agency relationship between you and My Wonder Gear LLC.

15. International Purchases and Distribution

These Terms apply to purchases made within the United States and internationally, subject to applicable mandatory law.

The fact that an I Luv Cocoon product may be purchased, shipped, imported, possessed, or used in another country does not grant the purchaser:

• international distribution rights;

• territorial exclusivity;

• importer rights;

• dealership rights;

• wholesale rights;

• manufacturing rights;

• licensing rights;

• commercial resale authorization; or

• any other commercial rights relating to I Luv Cocoon.

Without prior written authorization, products purchased through this Site may not be purchased for:

• export or re-export for commercial resale;

• international wholesale distribution;

• commercial marketplace resale;

• establishment of a foreign dealership or distributorship;

• commercial redistribution through another business; or

• unauthorized manufacturing outside the United States.

No purchaser may grant another person or company purported rights to manufacture, distribute, license, wholesale, import, export, or commercially resell I Luv Cocoon products.

All international commercial arrangements require a separate written agreement signed by an authorized representative of My Wonder Gear LLC.

16. International Orders, Customs, Duties, and Local Requirements

We may limit the countries or territories to which we sell or ship.

The availability of the Site in a particular jurisdiction does not mean that every product is offered, appropriate, or legally available for sale or use in that jurisdiction.

International orders may be subject to:

• customs duties;

• VAT;

• import taxes;

• brokerage fees;

• carrier fees;

• customs processing; or

• other governmental charges.

Checkout will indicate charges collected by us where the applicable system provides that information.

Unless expressly stated otherwise at checkout, customers may be responsible for charges assessed by the destination country.

International customers are responsible for providing accurate information necessary for shipping and customs processing and for complying with laws applicable to lawful personal importation and use of the product.

We may refuse or cancel an order if shipment would violate or reasonably appear to violate applicable:

• sanctions;

• export controls;

• import restrictions;

• customs requirements;

• consumer-product requirements;

• product-safety requirements;

• shipping restrictions; or

• other applicable laws or regulations.

17. Mandatory International Consumer Rights

Nothing in these Terms is intended to waive, exclude, restrict, or modify any consumer right, statutory guarantee, remedy, withdrawal right, warranty, product-safety protection, or other right that applicable law does not permit the parties to waive.

Where mandatory consumer law in the purchaser's jurisdiction provides greater protection than these Terms, that mandatory law controls to the extent required.

18. Unauthorized Commercial Orders

To the extent permitted by law, we may refuse, limit, or cancel orders that we reasonably believe are intended for unauthorized:

• resale;

• wholesale distribution;

• commercial redistribution;

• export or re-export for resale;

• marketplace resale;

• copying;

• manufacturing;

• procurement of copies;

• circumvention of authorized sales channels; or

• other commercial exploitation.

Relevant circumstances may include unusual quantities, repeated bulk orders, commercial shipping addresses, freight-forwarding activity, marketplace activity, or other reasonable indicators that products are not being purchased for authorized end use.

If we cancel an order after collecting payment, we will refund the applicable amount.

19. Website and Brand Intellectual Property

The Services and their content are owned by or licensed to My Wonder Gear LLC and may be protected by applicable copyright, trademark, patent, trade-dress, design, trade-secret, and other intellectual-property laws.

This includes, where applicable:

• the I Luv Cocoon name;

• logos;

• trademarks;

• photographs;

• videos;

• illustrations;

• graphics;

• website design;

• product descriptions;

• written materials;

• instructions;

• marketing materials;

• packaging;

• textile artwork;

• proprietary patterns; and

• other original content.

You may access and use the Site for ordinary personal and noncommercial purposes.

Except where permitted by law, you may not copy, reproduce, republish, commercially distribute, scrape, systematically harvest, modify, or exploit substantial portions of the Site or its proprietary content without prior written authorization.

20. Prohibited Uses of the Services

You may not use the Services:

• for unlawful or fraudulent purposes;

• to violate intellectual-property rights;

• to impersonate I Luv Cocoon or another person or business;

• to imply an unauthorized relationship with I Luv Cocoon;

• to collect Site content systematically for unauthorized commercial use;

• to introduce malware, malicious code, or harmful technology;

• to interfere with Site security or operation;

• to circumvent security or access controls;

• to obtain products through fraudulent means;

• to facilitate counterfeit products;

• to engage in unauthorized commercial distribution; or

• to violate applicable law.

We may suspend or terminate access to the Services for material violations of these Terms, subject to applicable law.

21. Accounts and Account Security

If you create a customer account, you are responsible for maintaining the confidentiality of your login credentials and for activity conducted through your account.

You agree to provide accurate information and to update it when necessary.

Notify us promptly if you reasonably believe your account has been accessed without authorization.

22. Promotions, Discounts, and Promotional Codes

Promotions, discounts, giveaways, and promotional codes may be subject to additional terms.

Unless otherwise stated:

• promotional offers may be limited by product, customer, quantity, geography, or time;

• discounts may not be combined;

• promotional codes have no cash value;

• offers may expire;

• promotional pricing applies only during the stated promotion; and

• promotions may be cancelled or corrected where affected by fraud, misuse, technical error, or obvious mistake.

Nothing in this section affects completed purchases except as permitted by applicable law.

23. Reviews, Photographs, and Other User Content

You may have opportunities to submit reviews, comments, photographs, videos, feedback, or other content.

You represent that content you submit:

• is accurate to the best of your knowledge;

• does not infringe another person's rights;

• does not contain unlawful material;

• does not contain content you lack authority to provide; and

• complies with applicable law.

You should exercise particular care when submitting information, photographs, or videos involving children.

Do not publicly submit unnecessary medical information, diagnoses, medical records, treatment information, or other sensitive personal information.

If you submit a written review or other nonconfidential content for publication, you grant us a nonexclusive, worldwide, royalty-free license to reproduce and display that content in connection with the Services and our business, subject to applicable law.

Submission of a photograph or video depicting an identifiable child does not, by itself, authorize us to use that child's image in paid advertising or unrelated external promotional campaigns. We may obtain separate permission where appropriate before such use.

We may remove user content where reasonably necessary, including content that violates these Terms, infringes rights, reveals inappropriate sensitive information, or creates privacy or safety concerns.

24. Feedback and Suggestions

If you voluntarily provide general ideas, suggestions, or feedback concerning our products or Services, we may consider and use that feedback without an obligation to compensate you, provided that this provision does not transfer ownership of confidential information or intellectual property that you clearly identify and that we separately agree in writing to receive confidentially.

Do not submit confidential business information, proprietary product concepts, or trade secrets unless we have agreed in writing to receive them on a confidential basis.

25. Third-Party Services and Links

The Services may use or contain links to third-party services, including:

• Shopify;

• payment processors;

• shipping carriers;

• social-media services;

• analytics providers;

• review providers; and

• other third-party platforms.

Third-party services operate under their own terms, privacy policies, and practices.

We do not control third-party websites or services and are not responsible for them except to the extent applicable law provides otherwise.

26. Privacy

Collection, use, processing, and disclosure of personal information are governed by our Privacy Policy.

Because our products may be purchased by parents and caregivers, please do not submit unnecessary medical records, detailed medical histories, diagnoses, insurance information, or other sensitive information through ordinary customer-service forms, public reviews, or social-media interactions.

Please review our Privacy Policy for additional information concerning children's information and sensitive information.

27. Electronic Communications

When you purchase from us, create an account, or contact us electronically, you consent to receive transactional communications electronically, including communications concerning:

• orders;

• payment;

• shipping;

• returns;

• account administration;

• customer service;

• legal notices; and

• product-safety matters.

Marketing communications are subject to applicable consent and opt-out requirements.

28. Disclaimer of Warranties

Except for warranties expressly provided by us and warranties, guarantees, or rights that cannot lawfully be excluded, the Services are provided on an “as available” basis.

We do not warrant that:

29. Limitation of Liability

To the maximum extent permitted by applicable law, My Wonder Gear LLC and its officers, directors, employees, and agents will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising solely from use of the Site or Services where such damages may lawfully be excluded.

Nothing in these Terms excludes, restricts, or limits liability where doing so is prohibited by law.

Without limitation, these Terms are not intended to exclude or limit responsibility to the extent it cannot legally be excluded for matters such as:

• personal injury;

• defective products;

• legally actionable product-safety issues;

• fraud or fraudulent misrepresentation;

• willful misconduct;

• gross negligence;

• statutory consumer protections; or

• other non-waivable liability.

Nothing in these Terms transfers to a customer a responsibility that applicable law places on My Wonder Gear LLC.

30. Customer Responsibility for Proper Use

Customers and caregivers are responsible for reading and following applicable product instructions and warnings and for using products only for their intended purpose.

Customers are responsible for appropriately supervising children and for determining whether a particular product configuration is consistent with instructions supplied by applicable healthcare professionals and equipment manufacturers.

This section does not relieve My Wonder Gear LLC of any responsibility that applicable law places on a manufacturer, seller, distributor, or other responsible party.

31. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless My Wonder Gear LLC and its officers, directors, employees, and agents from third-party claims, liabilities, damages, or reasonable costs resulting from your:

• unlawful commercial use of the Services;

• infringement or intentional misuse of I Luv Cocoon intellectual property;

• unauthorized commercial resale or distribution;

• unauthorized manufacture or procurement of copies;

• fraudulent conduct;

• material violation of these Terms; or

• unlawful conduct.

This provision does not require a consumer to indemnify My Wonder Gear LLC for product defects, our own negligence, statutory product liability, legally actionable product-safety issues, or another responsibility that cannot lawfully be shifted to the consumer.

32. Enforcement of Intellectual Property and Commercial Restrictions

Unauthorized commercial manufacturing, reproduction, distribution, licensing, counterfeiting, or misuse of I Luv Cocoon intellectual property may result in:

• refusal or cancellation of orders;

• suspension of future purchases;

• termination of access to the Services;

• cease-and-desist demands; and

• pursuit of rights and remedies available under applicable law.

Nothing in these Terms limits any lawful legal or equitable remedy available to My Wonder Gear LLC.

33. Force Majeure

To the extent permitted by law, we are not responsible for delay or failure to perform obligations caused by events beyond our reasonable control, such as:

• natural disasters;

• severe weather;

• war;

• terrorism;

• civil unrest;

• governmental actions;

• embargoes;

• epidemics or public-health emergencies;

• labor disruptions;

• transportation disruptions;

• carrier failures;

• utility failures;

• internet or telecommunications outages;

• supplier interruptions; or

• other events beyond our reasonable control.

This provision does not eliminate cancellation, refund, delivery, or other rights provided to consumers by applicable law.

34. Governing Law

These Terms and disputes arising from them are governed by the laws of the State of Utah, United States, without regard to conflict-of-law principles, except to the extent that mandatory law applicable to a consumer requires otherwise.

Nothing in this section deprives a consumer of protections afforded by mandatory laws of the jurisdiction in which that consumer resides.

35. Jurisdiction and Venue

Subject to any non-waivable consumer right to bring a claim in another jurisdiction, disputes arising under these Terms may be brought in a state court of competent jurisdiction in Utah County, Utah, or an applicable federal court with jurisdiction in Utah.

Nothing in this section prevents either party from seeking appropriate relief relating to intellectual-property infringement, counterfeiting, or misuse where jurisdiction and venue are otherwise proper.

36. No Waiver

Our failure to exercise or enforce a provision of these Terms on one occasion does not waive our right to enforce that provision or another provision later.

37. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed to the extent necessary, and the remaining provisions will remain in effect.

38. Assignment

You may not assign or transfer your contractual rights or obligations under these Terms for commercial purposes without our prior written consent, except where applicable law provides otherwise.

We may assign these Terms in connection with a merger, acquisition, financing, corporate restructuring, sale of assets, or transfer of the business, subject to applicable law.

39. Entire Agreement

These Terms, together with the policies expressly incorporated into them, constitute the agreement between you and My Wonder Gear LLC regarding your use of the Services and purchases through the Site.

The incorporated policies include our:

• Privacy Policy;

• Shipping Policy;

• Return & Refund Policy; and

• Safety & Product Use information.

A separate written wholesale, licensing, manufacturing, distribution, retailer, or other commercial agreement signed by an authorized representative of My Wonder Gear LLC may supersede portions of these Terms with respect to the subject matter expressly covered by that agreement.

40. Changes to These Terms

We may update these Terms periodically to reflect changes in:

• our business;

• our products or Services;

• applicable law;

• technology;

• commercial practices; or

• other operational requirements.

The “Effective Date” at the top identifies the current version.

Changes apply prospectively except where applicable law permits or requires otherwise.

Continued use of the Services after updated Terms become effective constitutes acceptance to the extent permitted by applicable law.
